These terms govern your use of webmi.org and the services provided by Web Michigan LLC, a Michigan limited liability company. By using this site or hiring us, you agree to them. If a signed proposal or service agreement says something different, that document controls.
1. What we provide
Web Michigan LLC provides website design and development, hosting, local SEO, marketing support, and ongoing maintenance on a monthly subscription basis. The specific work included in your plan is described on our Services page and in the proposal we send you.
2. The free demo
We build a working demo of your website before you owe anything. The demo is free and carries no obligation. If you decide not to move forward, you owe nothing and we take it down.
Until a plan begins, the demo and all of its code, design and layout remain the property of Web Michigan LLC. Content you supplied for the demo remains yours.
3. Fees and billing
Plans start at $199 per month and run to $499 per month depending on the plan you choose. There is no upfront design fee. Billing begins on a start date agreed in writing, which may fall before or after your site goes live, and recurs monthly on that date for the duration of your term.
Payments are due on the invoice date. Accounts more than 15 days past due may have service suspended after written notice. Work outside your plan is quoted and approved in advance. Prices may change with at least 30 days’ notice; your rate will not change mid-term without that notice. Fees do not include third-party costs such as domain registration, premium plugins, stock photography, or advertising spend, which are billed at cost or paid by you directly.
Fees are exclusive of applicable taxes. Monthly payments are for continuing service and are not refundable for partial months. See section 4 for buyouts.
4. Buyouts and ending service
Your website design and content are leased to you for the term of your plan. If you want to end service early, or you want to keep the site outright, we offer a buyout. The buyout price is based on the length of your lease term and how much of it remains, and is quoted in writing when you ask.
Paying the buyout releases the design and content to you and ends the monthly fee. Without a buyout, service runs through the end of your agreed term.
When service ends without a buyout, hosting, maintenance and support end with it and the site comes down. A domain you own stays yours and we will help transfer it. We will provide a copy of your own content and images on request. Custom code, templates and design files developed by us transfer only under a buyout or a separate written agreement.
5. What we need from you
- Accurate business information, and prompt notice when it changes.
- Content, photos and approvals within a reasonable time so the project can move.
- The legal right to everything you give us to publish.
- Responsibility for your own licensing, permits, claims and disclosures.
Projects stalled by an unresponsive client for more than 60 days may be closed, and restarting may require requoting.
6. Ownership
Your content is yours: text, logos, photos, and the customer data collected through your site. While your plan is active and paid, you have a license to use the website we build and operate for you.
The underlying code, frameworks, components and design systems we use across clients remain the property of Web Michigan LLC. We may display finished work in our portfolio and marketing unless you ask us in writing not to.
7. SEO and marketing results
Search rankings, traffic and leads depend on factors outside our control, including search engine algorithms, competitors, seasonality and your own market. We apply established practices and report honestly on what happens. We do not guarantee any specific ranking, traffic volume, lead count or revenue.
8. Third-party services
Your site depends on services we do not own, including hosting providers, domain registrars, email services, payment processors and search platforms. Their terms apply to their part of the work, and we are not liable for their outages, price changes, or policy decisions.
9. Uptime and support
We aim for continuous availability and quick turnaround on support requests, but we do not warrant uninterrupted or error-free service. Scheduled maintenance, provider outages and events outside our reasonable control may cause downtime.
10. Disclaimer and limitation of liability
Except as expressly stated here, our services are provided “as is” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, Web Michigan LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or lost business. Our total liability for any claim is limited to the amount you paid us in the three months before the claim arose.
11. Indemnification
You agree to defend and indemnify Web Michigan LLC against claims arising from content you supply, your use of the website, your products or services, or your violation of these terms or of any law.
12. Termination by us
We may suspend or end service for non-payment, for abusive conduct, or for content that is unlawful, infringing or deceptive. Where practical we give notice and a chance to fix the problem first.
13. Governing law
These terms are governed by the laws of the State of Michigan, without regard to conflict of law rules. Any dispute will be brought in the state or federal courts located in Michigan, and both parties consent to that jurisdiction.
14. Changes to these terms
We may update these terms. The effective date above shows the current version. Material changes affecting active clients will be sent by email. Continuing to use our services after an update means you accept it.
